Time for a new Coop?
|
Aug 4 23:27 UTC 2003 |
Seems like it might be a good time for this conference to die and a new
coop rise from the ashes. This current Coop is over two years old and has
more than 200 hundred items in it, and the older it gets, the more
confusing it could get for newer users coming here to tell which items are
more current than other items.
Two and a half years is a good long life, how 'bout a re-start...a NEW
coop!

I tend to agree - 200 items is a good place to start over.

Sounds good.
IIRC there was a problem last time about getting Bylaws, etc to roll/link.
Walter, can you help me make sure Items 1-X come into the new conference
correctly?

Colleen - there has been a change to the bylaws since the last rollover, so
if you could include that in the text o the item, it would be good. Or
maybe it should go into a response? Dunno. Anyway, it should be somewhere.
The text of the change is in Item 126, response 12 of this conference.

At least at one point, i think that mary maintained the official current
copy of our bylaws (& some other stuff). Should we be tapping that
archive? Putting a pointer to it in the new item?
I don't recall the earlier problems rolling/linking, but i don't think
we'll have any meaningful problems.

The problem was that I was not the fair-witness of the conf I was trying to
import things from, or something like that. I'm not sure a pointer is good.
Curious newbies may not know how to read such things.

The Articles of Incorporation need amending. Michael Smerza is listed as the
resident agent, and his address is the Grex contact address.
I'd also like to start fresh with that item, and not have the discussion bits
roll.
The By-laws are from 5 years ago. Need to be updated.

I'm not sure how important it is we keep the Articles of Incorporation up
to date once the organization has been registered. I, or someone, should
look into that.
You will be able to start a fresh bylaws item with the most recent version
of the bylaws and no old responses. Walter will simply read in the latest
version, from the file noted above, and you'll have every word as response
zero. Easy stuff.

No, the Articles of Incorporation don't need amendment when the resident agent
changes. The corporation submits a form, the name of which escapes me at the
moment, to the State of Michigan each year. This form lists the current
directors and officers, as well as the name of the resident agent and the
contact address.
I could see making the submission of that form a response to the Articles of
Incorporation item, though.

The name of the form is the Corporation Information Update. I sent the last
one in in December, 2002. I'm currently Grex's resident agent.
