Grex Oldcoop Conference

Item 41: Wrong registered agent listed for Grex in Item #1?

Entered by richard on Wed Dec 3 03:27:00 2003:

Was reading the Articles of Incorporation (item #1 in Coop) and noted that
it says:

The name of the registered agent at the office is:

                           Michael Smerza

 ARTICLE 5
The name and address of the incorporator is:
                           Michael Smerza
                           4125 Sunset Court
                           Ann Arbor, Mi. 48103

I assume that this item has simply been copied over from past Coops, and
that this information is likely no longer correct. Wouldn't Aruba now be
listed as Grex's official registered agent since he was more than likely
treasurer whenever it was the paperwork was last renewed?

I'n not saying that anybody official is ever going to read the Articles of
Incorporation as posted in Coop, but wouldn't it be a good idea to update
that info. anyway just in case. Wouldn't want grex related mail going to
the wrong address right?

Snoopers.

I think that item is a copy of the original incorporation papers
filed with the state. The registered agent has changed; it would
be appropriate to add a response listing the current one.

Yes, I am currently the registered agent for Grex. Mail to Grex should be
sent to:

Cyberspace Communications, Inc.
P.O. Box 4432
Ann Arbor, MI 48106-4432

Would it be appropriate to append that address information as a response
to item 1? The FW would have to do it, since it's a frozen item.

Ok, I looked. I think we had this discussion last coop. I agree that putting
the current agent's address as response 1 for that item makes sense.

Well, I think you should put Grex's mailing adress, not my home address,
even though it's the registered address for Grex. I don't want anyone
sending Grex mail to my house.

I think that's reasonable.

BTW the people in Lansing are fine with the mailing address being different
from the registered office.

yeah put the p.o. box address. the reason this is relevant is because of
what happened on mnet. The Arbornet corporate paperwork expired and whatever
grace period there was passed, and nobody seemed to know about it. Why?
possibly because met's registered agent was still listed as Dave Cahill, and
who knows whether the state tried to send mail because Cahill's address was
still listed.

However exciting it might be to think otherwise, there are no
insurmountable problems for Arbornet. I just tossed in this note so
that no one is misled here. M-Net is going to be just fine.
