The paperwork for a salestax license has been submitted and will presumably be approved soon. That means we are basically ready to open the Grex store...except...oops...no merchandise. We need to make plans for production of T-shirts, coffee mugs and whatsits.

you don't need to reperm the directory.. unless you want to. that depends on what you use the directory for, et.c.

Does anyone remember if Misti was still acting as secretary at the time of this meeting? If she was there? Does anyone on the Board remember if there was quorum and if any motions were passed? Not having minutes posted really makes it difficult for the membership to feel informed and involved.

Re 17: or at least one member? Personally, I'd like to see the minutes posted but in this case it makes me feel like there's a glitch, nothing more.
My memory is that Misti was there, although she arrived a bit late.
So, who do we *know* was there, that might have taken notes?
First, what I'm not saying. I'm not saying folks deliberately
avoid posting minutes to conceal anything or with any intent
at all. These are all volunteers doing their best and giving
of their time. Their efforts are very much appreciated.
But what we seem to have is a problem getting information about what the
Board does into minutes and before the users. It hasn't happened a lot,
only once before this were minutes never posted, and once again that they
were so late that the content seemed to be somewhat inaccurate. Minutes
are important for not only to keep the membership informed but to document
where expenditures were authorized and by whom. When we don't post
minutes we are violating our Bylaws:
Article 3.g:
The secretary shall take minutes at all BOD meetings and
make them available to the users of Grex in a timely fashion,
shall maintain an up-to-date list of all officers, members,
and staff, and shall handle routine correspondence.
So, I guess what I 'm asking here is what could we do to improve
documentation a little. Maybe have a little tape recorder going at
each meeting so if the person taking notes is either unable to write
minutes, or loses the notes, there is a backup? Have two people take
notes? Be especially careful about who accepts the post of secretary?
One suggestion I've made before is that any vote which was taken at a
Board meeting without posted minutes should be considered invalid and
voted on again when the quorum, text of the vote, and vote results can be
documented.
Again, I don't mean to assault anyone here. But maybe we could
try to find a way to make the job easier and avoid having Board
business conducted without documentation.
Perhaps as a backup, the presiding officer could record title and results for each motion?
Then who ever volunteered to take the minutes would be miffed, for having their reliability questioned. However the chair could 'ride herd' on whoever takes the minutes, to encourage their production.
Oh, we're all adults, and I think that having a backup might not be a bad idea. Carbon paper might accomplish the same thing. (Can you still *buy* carbon paper?) The secretary could take notes on carbon paper and give a copy to someone else at the end of the meeting. THen if the notes get lost, a copy still exists somewhere.
Uhhh...I've taken minutes on a laptop. Makes it *very* easy once you do it once, since the items are mostly the same. Then you just make a copy of the disk (why am I explaining this?... 8^}).

My notebook has been at almost every board meeting in the last year. Whoever is taking notes is welcome to borrow it.
I admit that I'm guilty. I have the notes in a stack of papers around here. I'm very sorry I haven't been very good about this lately. As I said in the last board meeting, I'll agree to accept the post of secretary again *ONLY* if I can share the post with someone else. I know; it's supposed to be one person and it may need to be unofficial. I can take notes just fine, and would be willing to accept the "undersecretary/scribe role, but I've just had too chaotic a life lately to be prompt about posting the minutes. (If you think it aggravates you, you might be happy to know that it haunts me.) *sigh* Unfortunately the post of secretary isn't very popular and whoever doesn't object ends up elected. If it's because of the notetaking part, then my idea might encourage someone else to take the official secretary position. If it's the posting part ... well, the laptop would help, i guess. Again, I humbly apologize. I know I've lety everyone down.
Sorry about the pressure you're under, Misti, but the October minutes December minutes still need to be posted. Is it your intention to get these online sometime soon or should you get together with someone, go over the notes, and let someone else (who was at the meetings) do the polishing and posting?
Actually, it's the December minutes that I have -- I misunderstood which minutes were under discussion. I am getting those in tonight. I have no idea what happened to the October minutes. *sigh* If and when I find them, I'll enter them.

I'd be willing to consider the secretary job, but I'd rather take my own notes. I've had the experience of trying to enter notes written by someone else, and it didn't work very well. When I take notes that I plan to expand into minutes later, I leave out a lot that I know I can fill in. Unless you take excellent notes, they don't work for anyone else.

I'd be willing to be the secretary, but I would probably be pretty bad at it. I don't take notes that can be expanded back into the conversation. I'd probably be very slow about posting them, too.
