Grex Board Meeting: Friday Oct 30, 2015
=======================================
Members in attendance: cross, kentn, tod, unicorn

* Call to order at 9:45pm, EDT
  - We have a quorum
* Approve previous minutes
  - cross moves to approve previous minutes
  - tod seconds
  - vote carries unanimously
* Schedule next meeting
  - Need to account for upcoming election
  - People need to accept a one year term to rebalance terms
    (currently, 4 will be up for election this coming cycle,
     but only one in the next. With two people taking one year
     terms, this will resolve itself in the next election)
  - kentn proposes Nov 30, 9:30pm EST
    (after nominations, before elections)
    Todd got disconnected; date/time pencilled in
* Treasurer's report
  - Todd still disconnected
  - No word from TS as far as anyone knows
  - cross proposes we simply start over:
    TS is never going to give us our documentations. Let's cut our losses
    + We should just give everyone who was ever a member a year's membership
    + Also, comb through the PayPal logs similarly
    + We'll start researching reminders and so forth in a year
* Staff Report and New Grex
  - Nothing's happened
  - cross proposes to table this for a few months
  - kentn wants to get us thinking about this
  - There are some technical challenges
    + web authentication with nginx and /etc/master.passwd
    + backtalk needs to be updated
* Downward trend in validation
  - Part of a long-term downward trend
  - How do we get new users?
  - How about staff time to support these things?
* Adjourn
  - cross moves to adjourn at 10:38pm, EDT
  - unicorn seconds
  - motion passed, meeting adjourned.

I was hoping to hear something about the P.O. box and Resident Agent.

Who does the Board want to have access to the box? Right now, only Mark C.
(aruba) has access, because he is the only one on the Post Office's list and
the lock has been changed. His key won't work, but his ID will.

As far as Resident Agent, I think that needs to be a Michigan resident
since Cyberspace is a Michigan corporation. As we've discussed before,
that leaves not too many people available. As long as TS is able to do
it, we have some time. Unfortunately, he is not being communicative, so
it is hard to say what he is willing and able to do.

I can probably be on the PO Box list for a key, but as I noted before,
it's a bit of a drive for me. The Board has discussed allowing the
treasurer to rent a box closer to his place of residence. That would
mean most of us would not have access. But it would mean the box could
be checked more frequently by the person who needs the information it
receives.

At this point, I strongly believe that keeping TS officially involved in any
way is a bad idea.

Kent, you should probably be resident agent; ideally, we wouldn't have a P.O.
box anymore but rather make use of some kind of mail forwarding service where
physical mail is forwarded to the relevant person (and that can be configured
online, etc).

I could be resident agent with my mother's address if everyone is
agreeable to it. I've looked into mail forwarding. It's essentially a
a forward (so it takes longer - maybe a week extra.)
It appears to be $1 on a credit card to do so. I'd be glad to receive
mail and set it up but it has to be done by a dulty authorized rep
which I'm guessing is Mark Conger? Maybe he can have us added by
the Postmaster? Anyone in contact with him?

Sounds reasonable.

#6 of 16 by kentn on Thu Nov 5 13:44:12 2015:

Mark is reachable by e-mail.

What is a Resident Agent and what does he do? I don't recall hearing
about this back when I was on the board. Just wondering...

"A resident agent and registered office must be included in the Articles
of Organization. A resident agent is someone who is appointed by the
company to receive any documents, notices, or demands served upon the
company. The resident agent must be a Michigan resident, a Michigan
corporation, a foreign corporation with a certificate of authority to
transact business in Michigan, a Michigan limited liability company or
a foreign limited liability company authorized to transact business in
this state."

Thanks, Kent!

#11 of 16 by tod on Tue Dec 1 22:27:13 2015:

So Arbornet could be the resident agent? ;)

#12 of 16 by kentn on Wed Dec 2 02:23:48 2015:

Well, it's possible, but I don't know if we want that.

#13 of 16 by tod on Wed Dec 2 16:43:25 2015:

No, I don't think we'd want that but it is an interesting thought that
an out of state non-profit authorized to work in Michigan can be
assigned as the agent.

I'm not a resident of Michigan. I think that leaves kent and walkman
at least from the board perspective?

#14 of 16 by kentn on Thu Dec 3 04:39:04 2015:

Any Michigan resident that we trust could act in this capacity.
They don't necessarily need to be on the Board, just that they
are willing to accept whatever documents are delivered and let
the Board know.

#15 of 16 by cross on Thu Dec 10 02:46:57 2015:

We've had bad luck with that in the recent past; I think it should be a board
member.

#16 of 16 by unicorn on Thu Dec 10 02:48:51 2015:

I'm also a Michigan resident, and on the board, but farther from Ann
Arbor than Kent.
