Sometimes a bad phone connection causes modems to hang up; could
that be what happens when it "resets?" Another symptom of a bad
phone connection is you see line noise, or messed up characters
like "~~Thi~%h%%~~~~!" However, if you have an error-correcting
modem, then it won't show line noise, it will merely hang up when
the phone connection gets bad enough. If you can hear a hum or
static when you talk to people on the phone, that's a sign of bad
phone connection.

There are other possibilities too...maybe your first modem is
just broken, and maybe there's a software problem that causes the
second one you tried to hang the connection.
