I was hoping to hear something about the P.O. box and Resident Agent. Who does the Board want to have access to the box? Right now, only Mark C. (aruba) has access, because he is the only one on the Post Office's list and the lock has been changed. His key won't work, but his ID will.
As far as Resident Agent, I think that needs to be a Michigan resident since Cyberspace is a Michigan corporation. As we've discussed before, that leaves not too many people available. As long as TS is able to do it, we have some time. Unfortunately, he is not being communicative, so it is hard to say what he is willing and able to do. I can probably be on the PO Box list for a key, but as I noted before, it's a bit of a drive for me. The Board has discussed allowing the treasurer to rent a box closer to his place of residence. That would mean most of us would not have access. But it would mean the box could be checked more frequently by the person who needs the information it receives.
At this point, I strongly believe that keeping TS officially involved in any way is a bad idea. Kent, you should probably be resident agent; ideally, we wouldn't have a P.O. box anymore but rather make use of some kind of mail forwarding service where physical mail is forwarded to the relevant person (and that can be configured online, etc).
I could be resident agent with my mother's address if everyone is agreeable to it. I've looked into mail forwarding. It's essentially a a forward (so it takes longer - maybe a week extra.) It appears to be $1 on a credit card to do so. I'd be glad to receive mail and set it up but it has to be done by a dulty authorized rep which I'm guessing is Mark Conger? Maybe he can have us added by the Postmaster? Anyone in contact with him?

What is a Resident Agent and what does he do? I don't recall hearing about this back when I was on the board. Just wondering...

Well, it's possible, but I don't know if we want that.
No, I don't think we'd want that but it is an interesting thought that an out of state non-profit authorized to work in Michigan can be assigned as the agent. I'm not a resident of Michigan. I think that leaves kent and walkman at least from the board perspective?
Any Michigan resident that we trust could act in this capacity. They don't necessarily need to be on the Board, just that they are willing to accept whatever documents are delivered and let the Board know.
We've had bad luck with that in the recent past; I think it should be a board member.
I'm also a Michigan resident, and on the board, but farther from Ann Arbor than Kent.
