SRW has been invited to join the board of directors of HVCN Mark Unseen   Nov 11 22:36 UTC 1995

As many of you know, I have been splitting my on-line time and effort
between Grex and HVCN. These two entities are both very attractive to
me, and I do not wish to change my relationships with either organization
in any substantive way.

For the record, on Grex I am a board member (director), secretary, and 
a staff member.

On HVCN I am chair of the Technical Committee.

Now I have been asked by the board of HVCN to formalize my relationship
with the board of directors of HVCN by accepting a position on the HVCN
temporary board of directors.

HVCN is a member-based organization, but the current (temporary) board is
appointed, and will be replaced by a board elected by the membership of
HVCN as soon as HVCN conducts its membership drive.

My initial reaction was to avoid a potential conflict. The members of
Grex elected me to the Cyberspace Board without knowing that I would get
this involved with HVCN. They are entitled to have my service on the 
Cyberspace Board, without any question of conflicting interests.

I have thought about this a lot and as a result I am writing this open
letter to the members of Grex. I believe that in accepting a position
on the HVCN board, I am formally acknowledging a relationship that
exists already. I believe that I can serve both organizations fairly,
and without conflict of interest. I have expressed openly within the Grex
Community my belief that HVCN is a good system to cooperate with, and
I have been just as open within the HVCN community regarding the benefits
to them of associating with Grex.

I plan to accept this invitation to join the board of HVCN.
In matters that come before the Cyberspace board regarding our relationship 
with HVCN in any way, I will speak my mind, but will abstain from voting.

Congratulations, Steve.  As long as you abstain from votes having to do with
HVCN (and probably abstain from votes there having to do with Grex), I don't
see a conflict.

I would be very pleased to have a director of HVCN on the Grex board.
That should be the nature of non-profit boards - formed of persons
with numerous contacts, which can only help the organization, even
totally avoiding conflicts of interest.

I don't think overlapping boards are a problem.  In fact, I think they are
an advantage.

I think you are a man of character who should have no difficulty in
performing well in both places.  The fact that you have agonized over this
speaks volumes about your integrity.

OK, thanks for the confidence. Here is my letter of acceptance to the HVCN
board:


Board members of HVCN,

Thank you for offering me an appointment to the HVCN temporary board of
directors. I apologize for the delay in accepting this offer. I assure you
that I never wavered with respect to my support for HVCN, but took the
time to ensure myself that I would be able to serve the boards of both 
Cyberspace Communications and HVCN fairly, as these two organizations
are performing related services.

I have long held that Grex and HVCN should complement each other, and
my friends on Grex have assured me that I am correct on this score.
With that in mind, I am certain that in the future there will be good 
relations between these two organization. My overlapping appointment
to both boards now seems like an opportunity not to be missed.

In order to avoid potential conflict of interest, I do not plan to vote 
on matters that come before either board with regard to any dealings
involving the other organization. As in all things, you will not be 
denied my opinion, however.

I look forward to continuing to work with you to bring to life the best 
sort of community network possible.

Steve, good for you!  Both organizations will benefit from your participation
and the entire community gains as well.  I can see you have an eye out for
any potential conflicts of interests, but I don't think any/many will be
raised since both organizations are community oriented.

        <now, just get him on Arbornet Board and he's got a 'hat-trick'>  ;)

My feeling is that one should not feel bad about taking on additional
responsibilities as long as they don't interfere with one another, and as long
as one notifies appropriate persons if and when one becomes unable to fulfill
any commitments.

Thanks Lilmo. Certainly the time I spend on HVCN takes away from time
I could spend on staff here. In this case, I weighed the question and
decided that being on the HVCN board would not materially affect my
ability to contribute to Grex, as it will not materially add to the
time I need to spend doing HVCN stuff.

I agree that it's *great* to have you on both the Grex and HVCN boards,
Steve!  Cross-fertilization between organizations which should be
cooperating anyway is the way to go.
        How does it feel to besuch a big wheel in local cyberspace?
